Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of AgentDock’s websites, desktop applications, account services, paid plans, AIgency orchestration features, Orbit and other AgentDock-branded products or services that link to these Terms (collectively, the “Services”).

By creating an account, purchasing a subscription, downloading or using the Services, or otherwise indicating your acceptance, you agree to these Terms. If you do not agree, do not use the Services.

1. Who these Terms are with

For these Terms, “AgentDock”, “we”, “us” and “our” mean the operator of the AgentDock Services. Legal and support enquiries can be sent to support@agdc.dev.

These Terms are intended to operate alongside any rights you have under applicable law. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, including rights under the Australian Consumer Law where it applies.

2. Eligibility and accounts

You must have legal capacity to agree to these Terms. If you are under the age of legal majority where you live, you may use the Services only with the permission and supervision of a parent or legal guardian where required by law.

You are responsible for providing accurate account information, keeping your login credentials secure, and for activity conducted through your account. You must notify us promptly if you believe your account has been compromised.

We may require email verification or other reasonable security checks. We may suspend access while investigating suspected fraud, abuse, security incidents or violations of these Terms.

3. What AgentDock does

AgentDock provides a local-first desktop environment for launching, interacting with and coordinating third-party AI coding agents and related developer tools. AgentDock Pro may include additional paid functionality such as AIgency, workflow orchestration, account entitlements and other premium features.

The desktop application is designed so that agent processes, workspaces, session data and provider credentials are handled locally unless a feature clearly states otherwise. When you use a third-party agent such as Claude Code, Codex or Antigravity, that agent communicates with its own provider under your provider account and the provider’s own terms.

AgentDock is not the provider of those third-party AI models or agent services and does not control their availability, outputs, pricing, rate limits, safety systems or data practices.

4. Third-party services and provider costs

The Services may integrate with or link to products operated by third parties, including Anthropic, OpenAI, Google, Stripe, Cloudflare, GitHub and other service providers.

You are responsible for any separate subscriptions, API charges, usage fees, licences or other costs charged by third-party providers you choose to use. An AgentDock subscription does not include third-party provider usage unless the checkout or product description expressly says otherwise.

Your use of a third-party service is also governed by that provider’s terms and privacy policy. AgentDock is not responsible for third-party services, except to the extent responsibility cannot lawfully be excluded.

5. Licence and software rights

Subject to these Terms and any applicable open-source licence, AgentDock grants you a limited, non-exclusive, non-transferable and revocable right to install and use the Services for lawful personal or business purposes.

Some AgentDock components may be distributed under separate open-source licences. Where an open-source licence applies to a component and conflicts with these Terms, the open-source licence controls for that component.

You must not, except where permitted by law or an applicable open-source licence:

  • circumvent licence, entitlement, subscription or access controls;
  • resell, sublicense or commercially redistribute proprietary AgentDock Pro components without written permission;
  • use the Services to infringe intellectual property rights, violate law, distribute malware or facilitate unauthorised access to systems;
  • interfere with the security, integrity or normal operation of AgentDock infrastructure or other users’ accounts.

6. Your projects, code and content

As between you and AgentDock, you retain ownership of the code, files, prompts, project materials and other content you provide or create through the Services (“Your Content”).

AgentDock does not claim ownership of Your Content merely because you use the desktop application.

Where you intentionally send content to an AgentDock-operated online feature, support channel or account service, you grant us only the limited rights necessary to host, process, transmit and use that content to provide, secure and support the relevant feature.

You are responsible for ensuring you have the rights and permissions needed for Your Content and for any instructions you give to agents.

7. AI-generated output and agent actions

AI agents can produce incorrect, insecure, incomplete or unexpected results. They may write or delete files, execute commands, modify repositories, access network resources, or take other actions depending on the permissions you give them.

You are responsible for reviewing important outputs and for choosing appropriate permission settings, backups, version control, isolated environments and human review before relying on or deploying agent-generated work.

Do not rely on AgentDock or third-party AI outputs as a substitute for professional legal, medical, financial, safety-critical or other regulated advice.

AgentDock does not guarantee that AI-generated output will be accurate, unique, non-infringing, secure or suitable for your intended purpose.

8. Paid plans, subscriptions and billing

If you purchase AgentDock Pro or another paid plan, the price, billing period and applicable taxes are shown at checkout. Payments are processed by Stripe or another payment processor identified at checkout.

Unless stated otherwise at checkout, recurring subscriptions renew automatically for successive billing periods until cancelled.

You may cancel a recurring subscription through the available billing portal or another cancellation method we provide. Unless required otherwise by law, cancellation stops future renewal and paid access continues until the end of the current paid billing period.

We may change subscription prices or plan features. If a change applies to an existing recurring subscription, we will provide notice as required by applicable law before the new price takes effect.

Except where required by law or expressly stated otherwise, payments are not automatically refundable for change of mind or unused time. This does not limit any refund, cancellation, repair, replacement or other remedy you are entitled to under applicable consumer law.

9. Australian Consumer Law

If the Australian Consumer Law applies to your acquisition of the Services, you may have consumer guarantees that cannot be excluded, restricted or modified.

Nothing in these Terms is intended to exclude or limit those guarantees or any remedy available for a failure to comply with them. Any disclaimer or limitation in these Terms applies only to the maximum extent permitted by law.

10. Acceptable use

You must not use the Services:

  • unlawfully or to facilitate unlawful activity;
  • to gain unauthorised access to accounts, systems, networks or data;
  • to create, distribute or operate malicious software or intentionally harmful payloads;
  • to harass, exploit or harm others;
  • in a way that materially disrupts AgentDock systems or attempts to defeat security or rate limiting;
  • in breach of third-party provider terms that apply to the agents or services you connect.

You remain responsible for the acts you direct an agent to perform.

11. Intellectual property and trademarks

Except for Your Content, third-party materials and open-source components, AgentDock and its proprietary software, branding, interfaces, documentation and related intellectual property are owned by or licensed to AgentDock.

“AgentDock”, “AIgency”, “Orbit” and associated branding may be protected by intellectual property laws.

Third-party names and marks remain the property of their respective owners. References to Claude, Anthropic, Codex, OpenAI, Antigravity, Google or other third-party products describe compatibility or integration and do not imply endorsement, sponsorship or affiliation unless expressly stated.

12. Beta, preview and experimental features

Some features, builds or integrations may be labelled beta, preview, experimental or similar. These features may be incomplete, change without notice, have additional limitations, or be withdrawn.

You should not use experimental features as the sole system for critical production work or irreplaceable data.

13. Updates and changes to the Services

We may update, improve, replace or discontinue parts of the Services. We may also release security, compatibility or feature updates.

Where practical, we will try to avoid materially disrupting paid functionality without reasonable notice, but we do not promise that every feature or integration will remain available indefinitely, particularly where a third-party provider changes or removes an interface.

14. Suspension and termination

You may stop using the Services at any time and may cancel paid subscriptions as described above.

We may suspend or terminate access if you materially breach these Terms, fail to pay amounts due, create a security risk, misuse the Services, or if suspension is reasonably necessary to protect AgentDock, users or third parties.

Where reasonable and lawful, we will provide notice and an opportunity to remedy a breach before permanent termination.

Termination does not remove rights or obligations that by their nature should survive, including accrued payment obligations, intellectual property provisions and lawful limitations of liability.

15. Service availability and disclaimers

We aim to provide reliable Services, but software, websites, third-party integrations and AI providers can fail or change.

Subject to rights that cannot be excluded by law, the Services are provided on an “as available” basis and we do not promise uninterrupted operation, error-free software, permanent compatibility with every third-party agent, or that all defects will be corrected immediately.

You are responsible for maintaining appropriate backups of important data and repositories.

16. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

To the maximum extent permitted by law, AgentDock will not be liable for indirect, incidental, special or consequential loss arising solely from risks outside our reasonable control, including failures or actions of third-party AI providers, except where such liability cannot lawfully be excluded.

To the maximum extent permitted by law, AgentDock’s aggregate liability arising out of or relating to paid Services will not exceed the amount you paid to AgentDock for the relevant Service during the 12 months immediately before the event giving rise to the claim.

These limitations do not apply to the extent they would improperly limit a consumer guarantee, remedy, liability for fraud, wilful misconduct, or another liability that applicable law does not permit us to limit.

17. Changes to these Terms

We may update these Terms to reflect changes to the Services, law, security practices or business operations.

The updated version will be posted with a new effective date. If a change materially affects an existing paid subscription or your legal rights, we will provide additional notice where required by law.

Your continued use after an updated version takes effect constitutes acceptance only to the extent permitted by applicable law.

18. Governing law and disputes

These Terms are governed by the laws applicable in New South Wales, Australia, without excluding any mandatory rights you have under the law of your place of residence.

Before starting formal proceedings, you and AgentDock should first try in good faith to resolve the dispute by contacting support@agdc.dev, unless urgent relief is required.

Nothing in this section prevents you from making a complaint to a regulator, consumer protection body or court where you are legally entitled to do so.

19. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in effect.

A failure to enforce a provision is not a waiver of that provision.

These Terms, together with any plan-specific terms, checkout terms and policies expressly incorporated by reference, form the agreement governing the Services.
